1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TALENTTECH LLC ("Company," "we," "us," or "our") governing your access to and use of our services, including our website, applications, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

• Does not infringe any third-party intellectual property rights

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

6. Intellectual Property Rights

Our Services and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are owned by TALENTTECH LLC or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The trademarks, service marks, and logos used and displayed on our Services are our registered and unregistered trademarks. Nothing in these Terms grants you any right to use our trademarks without our prior written permission.

7. Payment and Billing

7.1 Fees

Certain features of our Services may require payment of fees. You agree to pay all applicable fees as described in our pricing plans. All fees are non-refundable unless otherwise specified in writing or required by applicable law.

7.2 Billing

If you purchase a subscription, you authorize us to charge your designated payment method on a recurring basis. You are responsible for maintaining valid payment information. We reserve the right to suspend or terminate your access if payment fails.

7.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be effective for subsequent billing periods after we provide you with reasonable advance notice.

8. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.

You may terminate your account at any time by contacting us or using the account deletion features within our Services. Upon termination, your right to use our Services will immediately cease, and we may delete your account and associated data.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALENTTECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless TALENTTECH LLC and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

11. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

12. Third-Party Services

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party services.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration in Yerevan, Republic of Armenia, in accordance with the applicable arbitration rules, except where prohibited by law.

13.3 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and TALENTTECH LLC regarding your use of our Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
